Terms of Use

These Terms of Use (the “Terms”) are a legal agreement between you (“you”, “user” or “player”) and MidHard games (“MidHard games”, “we”, “us” or “our”), operated by LLC “IVLAN-INTERNET PROVIDER”, registered at Fabrichny Proezd 1, Ivanteevka, Moscow Region, Russia, 141280.

These Terms govern your access to and use of our websites, including www.midhard.com, our games and applications for mobile platforms (for example, iOS and Android), for PC and consoles, and any related services, content and features (collectively, the “Service”).

By downloading, installing, accessing or using the Service you agree to these Terms. If you do not agree to these Terms, do not install or use the Service.

Your use of the Service is also subject to our Privacy Policy, which explains how we collect and process your data and forms part of these Terms.

Eligibility and Age Requirements

The Service is not directed to children under the age of 13, and we do not knowingly collect personal information from them. If you are under 13, please do not use the Service.

If you are a minor under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of your parent or legal guardian, who accepts these Terms on your behalf and is responsible for your use of the Service, including any purchases you make.

By using the Service you confirm that you meet these requirements and that you are not barred from using the Service under the laws of your country of residence.

Licence to Use the Service

Subject to your compliance with these Terms, MidHard games grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use one copy of our games and applications on a device that you own or control, solely for your own personal, non-commercial entertainment purposes.

This licence does not transfer any ownership rights to you. All rights not expressly granted in these Terms are reserved by MidHard games and its licensors.

Restrictions

You agree that you will not, and will not permit or assist anyone else to:

• copy, modify, translate, adapt or create derivative works from the Service, except as permitted by mandatory law;
• reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service, except as permitted by mandatory law;
• rent, lease, lend, sell, sublicense, distribute or otherwise commercially exploit the Service;
• remove, obscure or alter any copyright, trademark or other proprietary notices;
• use cheats, bots, automation software, mods, hacks, emulators or any unauthorised third-party software designed to modify or interfere with the Service;
• exploit bugs, errors or unintended game behaviour for an unfair advantage or for commercial gain;
• obtain, buy, sell or trade in-game accounts, virtual items or virtual currency outside the Service or through channels not authorised by us;
• disrupt, overload or interfere with the Service, our servers or networks, or attempt to gain unauthorised access to any part of the Service or to another user’s account;
• use the Service for any unlawful purpose or in violation of any applicable law or regulation.

Accounts

Some parts of the Service may require you to create an account or to sign in through a third-party service (for example, Apple Game Center, Google Play Games or a social network). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must provide accurate information when creating an account and keep it up to date. You may not share your account with, or transfer it to, any other person.

Please notify us at contact@midhard.com if you become aware of any unauthorised use of your account.

Rules of Conduct

Where the Service allows interaction with other players, you agree not to post, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or that infringes the rights of others. You also agree not to impersonate any person, to spam other users, or to solicit personal information from minors.

We may, but are not obliged to, monitor communications and content within the Service, and we may remove content or restrict access where we consider it appropriate.

Purchases, Virtual Items and Virtual Currency

Our games may offer optional in-app purchases of virtual currency, virtual items, additional content, subscriptions or the removal of advertising (“Virtual Items”).

• All purchases are processed by the platform operator (for example, Apple App Store, Google Play, Steam or a console store), not by MidHard games directly. The applicable platform’s terms and payment rules apply to every transaction.
• Virtual Items are licensed to you for use within the Service only. You do not acquire ownership of them, and they have no monetary value and cannot be exchanged for cash or transferred outside the Service.
• Virtual Items may be modified, balanced, limited or discontinued at any time as part of the ongoing development of a game.
• All purchases are final and non-refundable, except where a refund is required by applicable law or granted under the rules of the relevant platform. Refund requests must generally be submitted to the platform operator that processed the payment.
• If your account is terminated for a breach of these Terms, you lose access to any Virtual Items associated with it without compensation.

Where a purchase is a recurring subscription, it renews automatically until you cancel it in the settings of the relevant platform account. Cancelling a subscription stops future charges but does not refund the current period.

Parents and guardians are responsible for supervising purchases made on devices available to minors. Platform-level parental controls and password protection can be used to restrict in-app purchases.

Advertising and Third-Party Services

Our games are free to play or paid, and free-to-play titles may display advertising, including rewarded video advertising. Advertising is served by third-party ad networks, and clicking an advertisement may take you to a third-party website or store.

The Service may also use third-party analytics, attribution and platform services. We are not responsible for the content, products, services or privacy practices of third parties. Their terms and privacy policies apply to your interactions with them. Please see our Privacy Policy for details of the partners we work with.

Updates and Changes to the Service

The Service is provided on an ongoing basis and may change over time. We may release updates, patches and new versions, and we may add, modify, suspend or discontinue features, game modes, content or entire games, and take servers offline, at any time and without liability to you.

Updates may be required for a game to continue functioning correctly, and some older devices or operating system versions may stop being supported.

Intellectual Property

The Service, including all games, software, source code, graphics, characters, artwork, animations, music, sound effects, text, and the MidHard games name and logo, is owned by MidHard games or its licensors and is protected by copyright, trademark and other intellectual property laws.

You may create and publish non-commercial screenshots, videos and streams of gameplay from our games (including monetisation through standard platform partner programmes such as YouTube or Twitch), provided you do not claim ownership of our content, do not present your material as official, and do not use it in a way that is unlawful or harmful to our reputation. This permission may be withdrawn at any time.

If you send us feedback, ideas or suggestions about the Service, you grant us the right to use them freely, without any obligation or compensation to you.

User Content

If the Service allows you to submit content (for example, a nickname, a message, an avatar or a custom level), you retain your rights in that content and you grant MidHard games a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, host, store, reproduce, modify and display that content for the purposes of operating and promoting the Service.

You are responsible for the content you submit and confirm that you have all necessary rights to it.

Suspension and Termination

You may stop using the Service at any time by uninstalling our games and, where applicable, requesting deletion of your account by contacting contact@midhard.com.

We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice if you breach these Terms, if we suspect fraud or unlawful activity, or if we are required to do so by law or by a platform operator.

Provisions relating to intellectual property, disclaimers, limitation of liability and governing law survive termination.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or free from errors, bugs or defects, that any defects will be corrected, or that the Service will be compatible with your device.

Nothing in these Terms excludes or limits any statutory rights you may have as a consumer that cannot be excluded or limited under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, MidHard games and its affiliates, directors, employees and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill, virtual items or virtual currency, arising out of or in connection with your use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us or through the relevant platform for the game concerned in the twelve (12) months preceding the event giving rise to the claim, or (b) EUR 50 (or the equivalent in your local currency).

Indemnity

You agree to indemnify and hold harmless MidHard games and its affiliates from any claims, damages, losses and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party.

Platform-Specific Terms

Your use of our games is also subject to the terms of the platform from which you obtained them (Apple App Store, Google Play, Steam, Nintendo eShop and others).

For applications obtained from the Apple App Store, you acknowledge that these Terms are concluded between you and MidHard games only, and not with Apple. Apple is not responsible for the application or its content, has no obligation to provide maintenance or support for it, and is not responsible for addressing any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

For applications obtained from Google Play, you acknowledge that Google is not a party to these Terms and is not responsible for the application or its content.

Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, power or internet failures, or actions of government authorities or platform operators.

Governing Law and Disputes

These Terms are governed by the laws of the Russian Federation, without regard to conflict of law principles. If you are a consumer resident in another country, you continue to benefit from any mandatory protections of the law of your country of residence.

We would like to resolve any dispute informally first, so please contact us at contact@midhard.com before taking any other action. If a dispute cannot be resolved informally, it shall be submitted to the competent courts at the location of MidHard games, unless applicable mandatory consumer law provides otherwise.

Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in our games, in our business or in applicable law. When we make material changes, we will update the “Updated on” date at the top of this page and, where appropriate, notify you within the Service or by email.

Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
